VARNEVO Legal
Terms of Service
These terms govern your use of VARNEVO. When you sign up you are asked to read and expressly accept them; the version and date of your acceptance are recorded.

1. Parties, Scope and Definitions
The service provider is Planicas LLC, 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, USA ("VARNEVO", "we"). The person or organisation using the service is the "User".
VARNEVO is a cloud-based software service (SaaS) for asset inventory, maintenance planning, service history, document management, expense/invoice/subscription tracking, notifications and reporting.
A "Consumer" is a natural person acting outside a trade, business or profession. A "Business User" acts for trade, business or professional purposes. Provisions specific to Consumers are marked and never limit mandatory consumer law.
You must be at least 18 years old to use the service.
2. Account and Security
You are responsible for the accuracy of your account details, the confidentiality of your password and all activity on your account. Report suspected unauthorised use to contact@varnevo.com without delay.
If you invite team members to a workspace you are responsible, as account owner, for their permissions and actions.
3. Service Scope, Plans and Changes
Plans (Free Trial, Premium, Business) are published with their current scope and usage limits on the pricing page; those limits form part of this contract. Unless a resource is expressly stated to be unlimited, the limit on the pricing page applies.
We may improve, change, add or remove features. For changes that materially reduce the core functionality of a paid plan we give at least 30 days' notice by email and allow you to cancel and receive a refund for the unused part of the paid period.
In urgent situations (security, legal obligation, force majeure) changes may be made without prior notice.
4. Notifications and Automation
Reminders for maintenance, payments, invoices, subscriptions and documents are delivered in the app, by email and, on devices you allow, by push notification so that you do not miss important dates; you choose how far in advance in Settings > Notifications. Reminders are based on the dates you enter and are not an official notice or legal warning.
Because email and push delivery partly depends on third-party infrastructure, we recommend using reminders to support your own tracking of dates with legal or contractual consequences and keeping more than one notification channel switched on for critical dates; obligations relating to those dates remain with the User.
Automation can create service and expense records and advance maintenance schedules according to rules you define. Every automatically created record is stored with its source; you can edit or delete it at any time. Because records are created from your rules, confirming that they suit your business is up to you.
Maintenance predictions and score analyses are calculated within the service's own systems from your service history and maintenance rules; they are estimates that help you decide and do not replace expert technical, financial or legal advice.
The limits in this section do not apply to intent, gross negligence or cases where mandatory law does not allow limitation (see Section 10).
5. User Content and Licence
You retain ownership of, and are responsible for the lawfulness of, data and documents you upload ("User Content"). You grant us a limited, non-exclusive, non-transferable licence to process it solely to provide the service, keep it secure and meet legal obligations. We do not use your content for advertising or sell it.
We may, proportionately and upon notice or detection, remove or restrict content that breaches the usage rules in Section 6 and, where possible, tell you why.
6. Acceptable Use
These rules protect every user's data and the stability of the service. You agree to use the service lawfully and in line with these Terms; in particular the following are prohibited:
- Uploading content that violates the law, third-party rights (intellectual property, personality, personal data) or public order
- Attempting unauthorised access, circumventing security controls, spreading malware, load or automated access that disrupts the service
- Copying or reverse engineering the software, or scraping the service for a competing product
- Spam or unsolicited commercial messages; fake accounts and fraud
- Processing special-category personal data (health, biometrics, etc.) in the service
Content reports: You can report content you believe is unlawful, with reasons, to contact@varnevo.com. Accounts are private and content is not publicly available; reports are reviewed within a reasonable time.
Measures: Depending on severity: warning, content removal, feature restriction, temporary suspension and termination. Except for urgent security cases a reasoned notice is given and you can object at contact@varnevo.com. Where legally required we cooperate with competent authorities.
7. Fees, Free Trial, Renewal and Cancellation
Paid plans are billed monthly and renew automatically each period until cancelled. Current prices are shown on the pricing page; applicable taxes (VAT) are included in the displayed price or shown separately at checkout. Payments are processed by Stripe; we do not store your card details.
Accounts that have not used a free trial before may be offered one for the period shown at checkout. If you do not cancel before the trial ends, the price of your selected plan is charged automatically at the amount and date shown at checkout. Cancelling before the end date means no charge.
You may cancel at any time in Settings > Billing (cancelling is as easy as signing up). Cancellation takes effect at the end of the paid period; you keep access until then and no further charge is made.
If prices or paid-plan terms change to your disadvantage, we notify you by email at least 30 days before they take effect and you may cancel beforehand.
Consumers' withdrawal right and refunds are set out in the Cancellation, Withdrawal and Refund Policy, and pre-contract information in the Pre-contract Information and Distance Sales Agreement. Those rights are mandatory and cannot be limited by these Terms.
8. Suspension and Termination
In case of serious breach of these Terms or the usage rules in Section 6, payment fraud or a security threat, we may, proportionately, warn you, restrict features, temporarily suspend or terminate. Except for urgent security cases we give notice beforehand and allow you to object.
If we terminate without cause we refund the unused part of the paid period.
You may delete your account at any time or ask us to. What happens to your data is described in the Data Retention and Deletion Policy.
9. Service Quality and Limits
We provide the service with care and in line with current technical standards, and we publish our availability and support targets on the Security and Service Assurance page. As with any software service, uninterrupted and error-free operation cannot be promised; when something goes wrong we work to fix it quickly and keep you informed.
Consumers' statutory rights regarding conformity, defects and non-performance cannot be limited by this section.
10. Limitation of Liability
The limitations in this section do not cover liability for intent or gross negligence, death or personal injury, mandatory data-protection liability, mandatory product/service liability, or any other liability that mandatory law, including consumer law, does not allow to be limited.
Otherwise and to the extent permitted by law: (a) we are not liable for indirect damages, loss of profit/revenue, loss of opportunity or reputation, late-payment interest or administrative fines; (b) the total liability of Planicas LLC for any event is, for Business Users, limited to the fees you paid for the service in the 12 months before the event.
Item (b) does not apply to Consumers; their claims are determined by mandatory consumer law.
11. Personal Data
The processing of your personal data is described in the Privacy Policy and (for Türkiye) the KVKK Notice. If, as a Business User, you enter other people's personal data into a workspace, you are the controller and we are the processor under the Data Processing Addendum.
12. Intellectual Property
All rights in the software, design, brand and our content belong to us or our licensors. You receive a limited, non-transferable right to use the service under these Terms.
13. Changes to These Terms
We may update these Terms for legal, technical or commercial reasons. For material changes we give at least 30 days' notice by email and in-app notification and may ask for your express acceptance again after the effective date. If you do not accept, you may cancel your subscription and delete your account.
Previous versions are available on request at contact@varnevo.com.
14. Governing Law and Dispute Resolution
Consumers: this contract applies together with the mandatory consumer-protection provisions of your country of habitual residence, which are not affected. Consumers in Türkiye may apply to the Consumer Arbitration Committees (within the monetary limits under Law No. 6502) or Consumer Courts; consumers in the EU/EEA may bring proceedings in the courts of their country and use alternative dispute resolution bodies.
Business Users: the laws of the State of New Mexico, USA govern, excluding conflict-of-law rules; the courts of Albuquerque, New Mexico have jurisdiction. The parties first seek an amicable solution in good faith for 30 days.
These Terms may be provided in Turkish and English. In case of discrepancy the Turkish version prevails, without affecting any mandatory protection in a consumer's country of residence.
